Storefront Partner Agreement

1. The Storefront Program

The RizPay Storefront Program provides you (the "Partner") with a branded bill payment storefront at a dedicated subdomain assigned by RizPay. Under this program:

  • RizPay manages all end-user accounts, verification, wallet funding, and payment processing
  • You configure your storefront brand (template, colors, logo, hero text, and SEO settings)
  • You set pricing markup rules (global, per-network, per-product-type, or per-product)
  • End users are RizPay customers - their accounts, wallet balances, and transaction data are managed by RizPay
  • You earn a margin on every successful transaction made through your storefront, calculated as the difference between the customer price and the RizPay base rate

2. Your Subdomain

Your storefront is assigned a unique subdomain by RizPay. You:

  • May not transfer your subdomain to another party
  • Are responsible for how you promote and represent your storefront to your customers
  • Must not make representations about your storefront that conflict with RizPay's terms of service

RizPay reserves the right to reclaim a subdomain that is misused, inactive for an extended period, or in violation of these terms.

3. Pricing Rules

You may set markup rules at levels of granularity permitted by the platform, within the bounds set by RizPay. Pricing rules take effect immediately upon saving. RizPay reserves the right to set maximum and minimum markup limits at any time. You are responsible for ensuring your pricing is compliant with applicable consumer protection laws.

4. User Accounts and Data

End users who register on your storefront are RizPay users. RizPay is the data controller for end-user personal data under applicable data protection law. You:

  • Do not have direct access to end-user personal data beyond what is shown in your storefront dashboard
  • Must not attempt to scrape or extract end-user data from your storefront dashboard or any RizPay system
  • Are not responsible for RizPay's obligations as data controller
  • Must not contact end users in ways that violate applicable privacy or marketing laws

5. Branding and Representation

You may brand your storefront with your own logo, colors, and display name. You must not:

  • Imply that you are RizPay or are affiliated with RizPay in a misleading way
  • Make false representations about the services or pricing available on your storefront
  • Use the RizPay name or logo in ways not explicitly permitted in writing by RizPay

6. Earnings and Settlement

Your margin is calculated per transaction and credited to your account for each successful transaction. Failed or reversed transactions do not generate earnings credits. Earnings accumulate in your account and are settled periodically as agreed with the RizPay team at the time of onboarding. RizPay reserves the right to withhold settlement if there is a reasonable suspicion of fraud or a dispute that affects the relevant transactions.

7. Intellectual Property

RizPay grants you a limited, non-exclusive, non-transferable licence to operate a branded storefront on the RizPay platform solely for the purposes described in this agreement. You retain ownership of your own brand assets (logo, display name). RizPay retains all rights to the platform, software, and infrastructure powering your storefront.

8. Limitation of Liability

To the fullest extent permitted by law, RizPay's liability to you under this agreement is limited to the total margin credited to your account in the three months preceding the event giving rise to the claim. RizPay is not liable for any indirect, incidental, or consequential losses, including loss of revenue or data, arising from platform downtime, provider outages, or changes to base rates.

9. Approval and Suspension

RizPay reviews storefront applications before granting access. Approval is at RizPay's sole discretion. RizPay may suspend or terminate a storefront immediately, without notice, for:

  • Violation of these terms
  • Activities that pose a security or compliance risk to the platform or end users
  • Misrepresentation during the application process

RizPay may also suspend a storefront with 7 days' notice for other operational reasons. On suspension or termination, your storefront will be taken offline and customers will no longer be able to transact through it. Outstanding earnings accrued before the suspension date will be settled in accordance with the standard settlement process.

10. Governing Law

This agreement is governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Nigeria. Both parties agree to attempt to resolve disputes informally before initiating formal proceedings.

11. Changes to This Agreement

RizPay may update these terms from time to time. We will notify you of material changes by email or through your account dashboard. Continued operation of your storefront after the effective date of any change constitutes acceptance of the updated terms.
