Shops Vendor Agreement

This agreement is between RizPay and you, the business that sells on RizPay Shops (the "Vendor"). It applies when you tick the box to accept it on your vendor request, and it sits alongside the RizPay Terms of Service and Privacy Policy, which continue to apply to your RizPay account. If this agreement and the Terms of Service disagree on something about your store, this agreement applies.

1. The Shops Program

RizPay Shops gives you an online store on the RizPay platform where shoppers can browse your products, place orders and pay. Under this program:

  • You list your products, set your prices and delivery options, and fulfil the orders you receive
  • RizPay provides the store, the checkout, the payment collection and the vendor dashboard you use to run your store
  • Shoppers can check out without creating a RizPay account
  • Money from your sales is collected by RizPay and settled to your RizPay business account, as described in section 7

2. Who Can Sell

To request a store, your RizPay account must:

  • Have completed Tier 2 identity verification
  • Have an active virtual account
  • Be a business account, or meet the requirements for one

Each vendor request is for one store. You must give accurate information about yourself and your business when you apply, and keep it up to date while you sell.

3. Approval and Opening Your Store

RizPay reviews every vendor request before you can sell. Approval is at RizPay's sole discretion. The process works like this:

  • Your request is reviewed. Your request is pending while RizPay reviews it, and is then approved or rejected.
  • You open your store. If your request is approved, you receive a vendor invitation. The invitation is valid for 14 days. You use it to name your store and set it up in the vendor workspace.
  • Your store is reviewed before it goes live. A new store starts in review. Shoppers can only reach your store once RizPay has made it active. A store can also be suspended or rejected.
  • Selling features are switched on separately. Making your store active does not by itself turn on checkout, payment methods or team tools. RizPay enables these for your store when it is ready.

4. Your Store Address

Your store has a unique address (its "slug") that becomes part of your store's web address. Your store address:

  • Must be 3 to 63 characters long, using only lowercase letters, numbers and hyphens, and must start and end with a letter or number
  • Must not be a name RizPay has reserved, and must not already be in use by another store
  • Is checked when you ask for it and again when you open your store, so if it is no longer available at that point you will need to choose another

You may not transfer your store address to another party. RizPay reserves the right to reclaim or require a change to a store address that is misleading, misused, or in violation of these terms.

5. Your Products and Store Content

You are responsible for everything you publish on your store, including product names, descriptions, images, prices, variants, stock levels, delivery options, delivery fees and store policies. You must:

  • Describe your products honestly and accurately, and show the full price a shopper will pay
  • Only sell goods and services that you are legally allowed to sell, and that are not prohibited under applicable law
  • Only use images, names and other content that you own or have permission to use
  • Keep your stock levels and delivery options up to date, so that shoppers do not pay for items you cannot supply
  • Follow applicable consumer protection laws in how you sell, price and describe your products

RizPay may remove content or products that break these rules, and may suspend your store as described in section 13.

6. Orders and Fulfilment

When a shopper pays for an order, RizPay confirms the payment and notifies you by email. You are responsible for fulfilling each paid order, whether the shopper collects it or you deliver it, and for keeping the order status in your dashboard accurate. You must:

  • Fulfil paid orders within the time you promise the shopper
  • Contact the shopper, through the details they gave for the order, if there is a problem with their order
  • Refund the shopper, as described in section 8, if you cannot supply what they paid for

A paid order can only be cancelled once the shopper's money has been returned.

7. Payments, Fees and Settlement

Shoppers pay through the payment methods RizPay enables for your store. The price a shopper pays is the price calculated at checkout from your product prices and delivery fees.

  • Collection. RizPay collects each payment on your behalf. Until a payment is settled to you, the money is held by RizPay or by the payment partner that collected it. It is not yet in your account.
  • Settlement. A payment becomes eligible for settlement to the RizPay business account that belongs to your store's owner only when all of these are true: the order has been fulfilled, meaning delivered to the shopper or collected by them; the payment has been released under shopper protection, described below; and the payment has cleared RizPay's settlement hold period. RizPay releases settlements. The hold period and settlement timing are the ones RizPay communicates to you, in your dashboard or in writing.
  • Shopper protection. Every Shops payment is protected for the shopper. After an order is fulfilled, the payment is released when the shopper confirms that the order arrived as expected, or automatically when the protection window ends if the shopper does nothing. The protection window is seven days from fulfilment unless RizPay communicates a different period to you. The settlement hold period still applies as a minimum, so a payment the shopper confirms early is not settled before its hold period ends.
  • Reported problems. If a shopper reports a problem with an order before its payment is settled, the payment stays on hold and is not settled while RizPay looks into it. It is then either released to you or refunded to the shopper.
  • What is not settled. A payment is not settled through the standard settlement process if it has a pending or completed refund against it, if its order has been cancelled, or while the payment is still being confirmed or checked. A refund that fails does not stop a payment from being settled.
  • Fees. RizPay may deduct a platform fee from each settlement, and may hold back a reserve from it, at the rates RizPay communicates to you in your dashboard or in writing before they apply. Each settlement records the gross amount, any fee, any reserve, and the net amount paid to you.
  • Withholding. RizPay reserves the right to withhold settlement if there is a reasonable suspicion of fraud or a dispute that affects the relevant transactions.

The sales summary in your dashboard shows your transaction activity. It is not a statement of the amounts settled to you.

8. Refunds

You can refund a shopper in full or in part, up to the amount they paid, from your dashboard. Only your store's owner and managers can issue refunds. A refund goes back through the way the shopper paid.

  • A refund is only complete once it succeeds. A pending or failed refund has not returned the shopper's money.
  • Refunds through RizPay Shops are only available before a payment has been settled to you. After settlement, the money has already been released to you, and you are responsible for resolving any refund directly with the shopper.
  • You are responsible for your own refund and returns policy, and for honouring it.

9. Disputes and Chargebacks

If a shopper disputes a payment with their bank or payment provider, or complains to RizPay about an order, you agree to cooperate with RizPay and provide the order details, proof of delivery and any other information reasonably requested. You are responsible for disputes that arise from the goods or services you sold, or from how you fulfilled the order. RizPay may withhold settlement of a disputed payment until the dispute is resolved.

10. Your Team

Your store's owner can invite managers and staff to help run the store. Managers can also invite team members.

  • Invitations are sent by email and are valid for 7 days. The person invited must accept using a signed-in RizPay account whose verified email address matches the invitation.
  • Owners and managers can manage the catalogue, checkout, payment settings, refunds, reports and the team. Staff can manage stock and orders.
  • Only the owner can transfer ownership of the store to someone else.
  • You are responsible for the actions of everyone you give access to your store. Remove access promptly when someone should no longer have it.

11. Shopper Data

To fulfil orders, you receive the shopper's name, email address, phone number and, for delivery orders, their delivery address. You are responsible, under applicable data protection law, for how you and your team use this information. You:

  • Must use shopper details only to fulfil, deliver and support the orders they relate to
  • Must keep shopper details secure, and share them only with team members or delivery partners who need them to fulfil the order
  • Must not sell, rent or share shopper details with anyone else
  • Must not send shoppers marketing messages unless the shopper has agreed to receive them, in a way that applicable privacy and marketing laws allow
  • Must not attempt to scrape or extract shopper data from your dashboard or any RizPay system
  • Must tell RizPay promptly at [email protected] if you believe shopper details have been lost, stolen or misused

12. Branding and Intellectual Property

You may brand your store with your own name, logo and store design, using the themes available on RizPay Shops. You must not:

  • Imply that you are RizPay or are affiliated with RizPay in a misleading way
  • Make false representations about your products, prices or delivery
  • Use the RizPay name or logo in ways not explicitly permitted in writing by RizPay

RizPay grants you a limited, non-exclusive, non-transferable licence to operate a store on the RizPay platform solely for the purposes described in this agreement. You retain ownership of your own brand assets and product content, and you give RizPay permission to display them on your store and to promote your store. RizPay retains all rights to the platform, software, and infrastructure powering your store.

13. Suspension and Termination

RizPay may suspend or terminate your store immediately, without notice, for:

  • Violation of these terms
  • Activities that pose a security or compliance risk to the platform or shoppers
  • Misrepresentation during the application process
  • Selling prohibited, counterfeit or misdescribed goods, or repeatedly failing to fulfil paid orders
  • A reasonable suspicion of fraud

RizPay may also suspend a store with 7 days' notice for other operational reasons. On suspension or termination, your store will be taken offline and shoppers will no longer be able to place orders through it. You remain responsible for fulfilling or refunding orders that were paid before the suspension. Outstanding payments received before the suspension date will be settled in accordance with the standard settlement process, subject to section 7.

You may stop selling at any time by contacting [email protected]. Before your store closes, you must fulfil or refund every paid order.

14. Limitation of Liability

To the fullest extent permitted by law, RizPay's liability to you under this agreement is limited to the total fees RizPay deducted from your settlements in the three months preceding the event giving rise to the claim. RizPay is not liable for any indirect, incidental, or consequential losses, including loss of revenue or data, arising from platform downtime, payment partner outages, or delays in settlement.

15. Governing Law

This agreement is governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Nigeria. Both parties agree to attempt to resolve disputes informally before initiating formal proceedings.

16. Changes to This Agreement

RizPay may update these terms from time to time. We will notify you of material changes by email or through your account dashboard. Continued operation of your store after the effective date of any change constitutes acceptance of the updated terms.
